Wyoming vs Kansas LLC: Which State Should You Choose?
Choosing between a Wyoming LLC and a Kansas LLC depends on where your business operates, your budget, and your long-term tax goals. While Wyoming offers strong privacy protections, no state individual income tax, and a business-friendly environment, Kansas provides lower LLC formation fees, biennial reporting, and practical advantages for businesses operating within the state.

The better choice depends on where you work, what becomes public, and which state obligations apply. Wyoming offers less routine public owner disclosure. Kansas offers a lower standard formation fee and a reporting schedule that is less frequent. Neither choice automatically removes taxes or registration duties where the business actually operates.
Official sources checked October 28, 2026. This comparison covers standard domestic LLCs; professional and series LLCs can have different requirements.
What Are the Main Differences Between a Wyoming LLC and a Kansas LLC?
Both states form LLCs through Articles of Organization and require an in-state agent for legal notices. Their main differences are reporting frequency, owner disclosure, state income taxes, and the cost of maintaining registrations. Compare those duties before choosing a state based on its filing fee alone.
| Comparison point | Wyoming LLC | Kansas LLC |
|---|---|---|
| Standard formation filing | $100, before online processing charges | $85 online or $90 paper |
| Formation document | Articles of Organization | Articles of Organization |
| Recurring entity filing | Annual report | Biennial information report |
| Recurring filing payment | Greater of $60 or Wyoming assets × 0.0002 | $90 online or $110 paper per report |
| Main reporting deadline | First day of formation anniversary month | April 15 in the applicable reporting year |
| Routine owner disclosure | Standard Articles do not request a member roster | Domestic LLC report identifies members owning at least 5% of capital |
| State personal income tax | None | May apply to owners' taxable income |
| State corporate income tax | None | May apply when taxed as a corporation |
| Operating in the other state | Review foreign-registration requirements | Review foreign-registration requirements |
The filing amounts above come from Wyoming’s fee schedule, Kansas’s Articles instructions, and Kansas’s Information Report instructions. Taxes, agent services, professional help, permits, and optional processing costs are separate.
How Can You Estimate Wyoming vs Kansas LLC Costs?
Use the filings actually due during your chosen period. For Wyoming, multiply the annual license tax by the number of reports due, then add formation and other expenses. For Kansas, count biennial reports rather than treating the report payment as an annual fee.
The illustration below assumes formation in 2026 and measures calendar years through December 31. Wyoming assets remain at or below $300,000. Kansas reports fall in 2028, 2030, and later even years. It excludes taxes, online processing charges, agents, service providers, and additional state registrations.
| Period | Wyoming state filing illustration | Kansas, online filings | Kansas, paper filings |
|---|---|---|---|
| Formation year, 2026 | $100 | $85 | $90 |
| 2026–2028 | $100 + two $60 reports = $220 | $85 + one $90 report = $175 | $90 + one $110 report = $200 |
| 2026–2030 | $100 + four $60 reports = $340 | $85 + two $90 reports = $265 | $90 + two $110 reports = $310 |
These are calculated filing examples, not all-inclusive prices. Kansas’s reporting parity follows the formation year under its Information Reports guidance. An LLC formed in an odd year uses the corresponding odd-year cycle. Higher Wyoming assets increase the license tax, so the minimum-cost illustration will not fit every business.
How Much Does It Cost to Form an LLC in Wyoming vs Kansas?
What Filing Fees Apply to a Wyoming LLC?
Wyoming charges $100 to file standard LLC Articles of Organization. The filing creates the entity; it does not include a paid registered-agent service, a business license, tax registration, or preparation of an operating agreement. Payment-processing charges can increase the online total.
Before filing, choose an available name, appoint an eligible agent, and prepare the required addresses and organizer information. Use the Wyoming Secretary of State’s starting-a-business page to reach official filing services. For a detailed budget, see our Wyoming LLC cost guide.
What Filing Fees Apply to a Kansas LLC?
Kansas’s current domestic LLC form lists $85 for online Articles of Organization and $90 for paper filing. These replace older formation figures still repeated in some guides. Optional services and a hired resident agent add to the amount you pay.
Kansas calls its legal-notice contact a resident agent. Its Articles instructions explain the name, agent, registered-office, and organizer requirements. Compare any filing-service charge separately from the state filing payment, and check what the service actually includes.
What Reports and Recurring Payments Does Each State Require?
What Annual Duties Apply to a Wyoming LLC?
Wyoming requires an annual report with a license tax based on assets located and employed in Wyoming. The formula is the greater of $60 or qualifying Wyoming assets multiplied by 0.0002. For example, $500,000 in those assets produces a $100 license tax. This calculation uses assets, not sales or profit.
The report is due on the first day of the LLC’s formation anniversary month. An October formation therefore uses October 1 in following years. The Wyoming business FAQ also explains that failure to file within 60 days after the due date leads to administrative dissolution. Keep a calendar reminder rather than relying only on courtesy emails. Retain all filing confirmations.
What Biennial Duties Apply to a Kansas LLC?
Kansas LLCs file an information report every two years. An even-year formation reports in succeeding even years; an odd-year formation reports in succeeding odd years. For-profit businesses must file by April 15 of the applicable year. A company formed in 2026 normally starts that cycle in 2028.
The current LLC Information Report form lists $90 online or $110 on paper. This payment is not an income-tax return. Kansas provides a three-month delinquency interval after the deadline before forfeiture, but a business becomes restricted during delinquency. The Secretary of State’s guidance explains the consequences and reinstatement process.
How Do Public Disclosure Requirements Compare?
Wyoming’s standard Articles request the agent, business addresses, and organizer information without a member roster. That can limit routine owner-name disclosure on the formation document. However, the organizer may be an owner, and addresses or other submitted filings can still identify the people involved.
Kansas’s domestic LLC information report requires names and addresses for members owning at least 5% of the capital. The Kansas report instructions also warn that filed documents are public records. Wyoming agents must retain information about key individuals and a communications contact under the state’s agent guidance. Lower public disclosure does not mean ownership is secret from banks, tax authorities, or lawful investigations.
Does Federal BOI Reporting Change the Privacy Comparison?
FinCEN’s current guidance exempts U.S.-created companies from federal beneficial ownership information reporting. That includes an ordinary LLC created under Wyoming or Kansas law. This federal exemption does not remove state filing disclosures, bank identification checks, or tax information requirements. Kansas’s public member-reporting rule therefore still matters when comparing these states.
Also separate a company’s formation country from its owner’s nationality. A U.S.-formed LLC does not become a foreign-created company simply because its owner lives overseas. See FinCEN’s current BOI notice for the federal reporting position. Foreign-created entities registering in the United States fall under different rules.
How Are Wyoming and Kansas LLCs Taxed?
Wyoming has no state personal or corporate income tax, as explained by Uinta County’s official economic-development guidance. Kansas can tax income connected with the state and its residents. A Wyoming registration therefore does not, by itself, make a Kansas-operated business or Kansas-resident owner exempt from Kansas income tax.
Federal LLC classification follows IRS rules rather than a special Wyoming or Kansas tax category. A single-member domestic LLC is generally disregarded for federal income tax; a multi-member domestic LLC generally defaults to partnership treatment. Eligible LLCs can elect corporate treatment. See the IRS classification guidance and Kansas income-tax instructions. Sales, payroll, and other tax duties require a separate review.
What Does Kansas Income Tax Look Like in Practice?
Kansas’s official 2026 estimated-tax worksheet uses individual rates of 5.2% and 5.58%. The bracket threshold is $46,000 for married filing jointly and $23,000 for the other listed filing statuses. These rates apply to taxable income under the applicable calculation, not automatically to an LLC’s total revenue.
For illustration, a single filer with $50,000 of Kansas taxable income uses $1,196 plus 5.58% of the $27,000 above the threshold, producing $2,702.60 before credits or other adjustments. This assumes taxable income has already been calculated; it is not a tax estimate based on $50,000 of sales. See the 2026 Kansas estimated-tax worksheet. Wyoming formation alone does not change that calculation for income Kansas can tax.
How Do Ownership and Management Rules Compare?
An LLC operating agreement should explain who owns the business, who makes decisions, and how money is contributed and distributed. It should also address transfers, a member’s departure, and disagreements. Choosing a state does not replace the need to agree on these terms before business begins.
Wyoming and Kansas provide legal rules for LLC management, with the operating agreement playing an important role. Wyoming’s rules appear in Title 17, Chapter 29. Kansas addresses management in K.S.A. 17-7695. Choose management terms that fit who will actually run the company, rather than copying another company’s agreement.
How Do Creditor Protection and Dispute Planning Compare?
Both states have charging-order statutes that address a personal judgment creditor’s access to a member’s LLC interest. Wyoming’s statute expressly includes a sole member. Kansas also makes the charging order the exclusive remedy against the membership interest for a one-member or multi-member LLC. It is inaccurate to describe this protection as exclusive to Wyoming.
The comparison comes from W.S. 17-29-503 and K.S.A. 17-76,113. These rules concern a member’s personal creditor, not a promise that the LLC’s own assets are protected from its business debts. For dispute planning, address buyouts, decision deadlocks, and dispute procedures in the operating agreement. Do not treat either state as a guarantee against lawsuits.
What Should Owners Outside the United States Check?
For an overseas owner, compare ongoing federal paperwork before focusing on the difference between state filing payments. A foreign-owned U.S. disregarded entity with reportable related-party transactions may need Form 5472 attached to a pro forma Form 1120. Formation contributions and owner distributions can be relevant transactions.
The IRS Form 5472 instructions explain those requirements. They can apply even where the LLC has no ordinary income-tax return requirement. Neither a Wyoming agent nor a Kansas formation service automatically handles this filing. Confirm the accountant’s scope, deadline tracking, and records needed before opening accounts or transferring funds.
Which State Makes More Sense for Funding and Growth?
Start with the kind of funding you need. If you expect to use owner savings or business loans, compare the proposed financing terms, required guarantees, and company documents. A formation-state choice alone is not a financing plan. Ask prospective lenders what they need before spending money on an extra registration.
For outside equity, ask investors and counsel about the required entity structure, governance rights, and tax treatment. An LLC can have tax consequences that do not fit every investor. The IRS guidance on LLC taxation explains available classifications. This is a planning consideration, not evidence that Wyoming or Kansas guarantees better access to capital.
Can You Form in Wyoming and Operate in Kansas?
Yes, but forming in Wyoming does not automatically authorize Kansas operations. Kansas requires foreign businesses doing business in the state to register. Here, “foreign” means formed outside Kansas; it can describe a Wyoming LLC even when every owner is a U.S. citizen.
Kansas’s registration guidance explains this duty. Its current paper Foreign Application instructions list a $115 filing fee. That creates a $215 formation-plus-Kansas-registration illustration when combined with Wyoming’s $100 formation fee, before agents or other charges. You may then maintain Wyoming annual filings and Kansas biennial filings. The exact need to register depends on your activities, not just your mailing address.
Are Online Sales Different From Foreign Registration?
Keep sales-tax registration separate from Secretary of State qualification. A company can have a sales-tax collection duty based on economic activity even without a local office. Conversely, filing a foreign application does not automatically complete every tax registration. Review the product, customer destination, inventory location, and applicable marketplace rules separately.
Kansas’s Sales and Compensating Use Tax publication explains physical and economic nexus, including the remote-seller threshold. An owner comparing these states should build two lists: company registrations and tax accounts. Treating them as one filing can leave an otherwise properly formed LLC with unfinished compliance work.
Should You Choose Wyoming or Kansas for Your LLC?
Choose Kansas as the starting option when the business is mainly operated there. A Kansas shop, local service company, or business run from a Kansas office should first compare a direct Kansas formation with the extra work of an out-of-state entity. Wyoming’s income-tax position does not remove Kansas tax duties created by Kansas operations or residence.
Consider Wyoming when there is a specific reason to use its law or its public-filing structure, and the total multistate cost still makes sense. If your business operates somewhere else, compare that state first. For support with the filing process, explore BusinessRocket’s LLC formation services, then confirm the chosen state against your actual business location and plans.
Wyoming vs Kansas LLC FAQs
Is Wyoming or Kansas Cheaper to Form an LLC?
Kansas has the lower listed standard filing payment: $85 online or $90 paper, versus Wyoming’s $100 before online processing charges. That difference is small compared with agent services, tax preparation, and the cost of another state registration. Compare the full setup rather than just the Articles fee.
Does Kansas Require an Annual LLC Report?
Kansas currently requires an information report every two years. The reporting year follows whether formation occurred in an odd or even year. For-profit reports are due April 15 of the applicable year. A biennial report is different from any yearly tax return the business or its owners must file.
Does a Wyoming LLC Avoid Kansas Income Tax?
No automatic exemption arises from a Wyoming formation. Kansas-resident owners and Kansas-source income can create Kansas obligations. The Kansas tax instructions include income from businesses operating in the state. Determine tax exposure from residence, income, activities, and tax classification.
Is a Wyoming LLC Anonymous?
Wyoming’s standard formation form does not request a full member list, but it still contains public business and organizer information. Registered agents must keep specified contact and company information. Banks and government agencies can also require identification. “Less routine public owner disclosure” is more accurate than “completely anonymous.”
Are Kansas LLC Owners Listed Publicly?
A domestic Kansas LLC’s information report identifies members owning at least 5% of the capital, with their addresses. Filed documents are public records and may be available online. This reporting disclosure is an important difference when privacy is part of your state-selection decision.
Do Both States Require an In-State Agent?
Yes. Wyoming requires a registered agent with a physical Wyoming address. Kansas requires a resident agent and a Kansas registered office. An owner may serve when eligible, but a mailing service or out-of-state address does not automatically meet the applicable requirements.
Is Kansas Less Protective of a Single-Member LLC Interest?
Kansas’s charging-order statute expressly applies whether the LLC has one member or more than one. Wyoming’s statute also expressly covers a sole member. Those provisions do not establish that every case will have the same result, or protect company assets from the company’s own debts.
Which State Is Better for a Kansas Online Business?
Begin with Kansas if you run the business from Kansas. Selling online does not mean the business has no operating location. Review where work is performed, where inventory or staff are located, and which registrations and taxes apply before adding a Wyoming entity.
Can a Kansas LLC Do Business in Wyoming?
A Kansas LLC can seek authority to operate in Wyoming when registration is required. Wyoming’s published Certificate of Authority filing fee is $150. Formation in Kansas remains separate from Wyoming qualification, and ongoing duties may apply in both states.
Is an EIN Free in Either State?
Yes. The IRS issues EINs for free; the formation state does not change that. A provider can charge for assistance, but that is a service fee, not an IRS charge. Use the official IRS EIN page and the application method for which you qualify.
Does a Wyoming Agent Address Move My Business Out of Kansas?
Do not treat an agent address as proof that the business operates in Wyoming. The agent receives legal notices; your actual activities remain relevant. Review Kansas registration and tax obligations using the facts of your business rather than the address shown on an agent-service invoice.
What Should I Compare Before Filing?
Compare the operating state, formation payment, report schedule, agent requirements, public disclosure, and tax treatment. Then add any foreign registrations and professional fees. Choose the setup that fits those obligations. A lower filing payment or a privacy claim is not enough on its own.
