These Business Address Supplemental Terms of Service (“Business Address Terms”) govern the Business Address Services provided by BusinessRocket, Inc. (“BusinessRocket,” “we,” “us,” or “our”) to the customer identified in the applicable order (“Customer,” “you,” or “your”).
These Business Address Terms supplement and incorporate the BusinessRocket General Terms of Service and Privacy Policy available on BusinessRocket.com (collectively, the “General Terms”).
By purchasing, activating, accepting, renewing, or using Business Address Services, you acknowledge that you have read, understood, and agreed to these Business Address Terms and the General Terms.
If these Business Address Terms conflict with the General Terms concerning Business Address Services, these Business Address Terms control with respect to Business Address Services.
1. BUSINESS ADDRESS SERVICES
1.1 Business Address
BusinessRocket may provide you with access to a business mailing address (“Business Address”) for authorized business purposes.
Depending upon the Service, location, and jurisdiction selected, the Business Address may be provided through:
- a BusinessRocket-operated location;
- a BusinessRocket affiliate;
- a commercial mail receiving provider;
- a virtual-mail provider;
- a contractor;
- a third-party address provider; or
- another provider selected by BusinessRocket.
You authorize BusinessRocket to use third-party providers where reasonably necessary to provide the Business Address Services.
1.2 Unique Address Identifier
Customers may be assigned a unique suite number, unit number, mailbox number, private mailbox number, account identifier, or other secondary address identifier associated with a common street address.
The format of the Business Address and any secondary identifier will be determined by BusinessRocket, the applicable provider, postal requirements, carrier requirements, or applicable law.
You must use the Business Address exactly as instructed by BusinessRocket or the applicable provider.
You may not independently modify, shorten, rename, reformat, or otherwise alter a suite, unit, mailbox, PMB, or other address identifier where doing so would violate provider instructions, postal requirements, government requirements, or applicable law.
1.3 Location Options
BusinessRocket may offer:
- BusinessRocket-operated California Business Addresses;
- third-party Business Addresses in other states;
- different address tiers;
- different mail-handling levels; and
- other location options.
A Business Address located in one state may sometimes be used by a business formed, registered, or operating in another state where permitted.
BUSINESSROCKET DOES NOT GUARANTEE THAT A BUSINESS ADDRESS LOCATED IN ONE STATE WILL SATISFY THE REQUIREMENTS OF ANOTHER STATE, GOVERNMENT AGENCY, BANK, LICENSE, PLATFORM, OR THIRD PARTY.
You are responsible for confirming that the selected Business Address is acceptable for the specific use you intend.
2. BUSINESS ADDRESS IS SEPARATE FROM REGISTERED AGENT SERVICE
Business Address Services and Registered Agent Services are separate products serving different purposes.
PURCHASING A BUSINESS ADDRESS DOES NOT PROVIDE REGISTERED AGENT SERVICE.
Unless BusinessRocket expressly identifies the same location as an authorized Registered Agent location under a separate Registered Agent Service:
- the Business Address is not your Registered Agent;
- the Business Address should not be listed as your Registered Agent solely because you purchase Business Address Services;
- BusinessRocket does not undertake to accept service of process at the Business Address; and
- BusinessRocket does not guarantee proper receipt, processing, notification, or forwarding of lawsuits, summonses, subpoenas, or other service of process delivered to a Business Address.
If your entity is legally required to maintain a Registered Agent, you are responsible for maintaining a valid Registered Agent separately.
3. PERMITTED BUSINESS ADDRESS USES
Subject to applicable law, provider requirements, government requirements, and third-party policies, a Business Address may generally be used for legitimate business purposes such as:
- company mailing address;
- business correspondence;
- Secretary of State mailing address;
- Secretary of State principal or business address where legally permitted;
- IRS business mailing address where permitted;
- state tax-agency correspondence;
- vendor correspondence;
- bank correspondence;
- business letterhead;
- invoices;
- customer correspondence;
- corporate records;
- licensing correspondence where permitted; and
- other legitimate business-mail purposes.
The fact that BusinessRocket permits use of the address does not mean that every government agency or third party will accept the address for every purpose.
4. BUSINESS ADDRESS DOES NOT CREATE A PHYSICAL OFFICE
Purchasing Business Address Services does not create a lease, tenancy, sublease, office rental, possessory interest, or other right to occupy the Business Address.
Unless BusinessRocket separately agrees in writing, Business Address Services do not provide:
- office space;
- desk space;
- coworking space;
- conference rooms;
- storage space;
- residence;
- domicile;
- employee workspace;
- customer-meeting space;
- signage rights;
- building access;
- walk-in privileges; or
- the right to represent that your employees physically work from the location.
You may not falsely represent that the Business Address is:
- a staffed physical office of your company;
- a store;
- a warehouse;
- a residence;
- a manufacturing facility;
- a professional office where services are actually performed; or
- another physical operating location
if that representation would be inaccurate.
Business Address Services do not establish zoning compliance, licensing eligibility, residency, nexus, tax domicile, or physical-presence requirements.
5. THIRD-PARTY ACCEPTANCE OF THE ADDRESS
5.1 No Guarantee of Acceptance
Different government agencies, banks, payment processors, marketplaces, licensing authorities, technology companies, and other third parties establish their own address requirements.
BusinessRocket does not control those requirements.
Accordingly, BusinessRocket does not guarantee that any particular third party will accept a Business Address for a particular purpose.
This includes, without limitation:
- Secretaries of State;
- IRS;
- state tax authorities;
- banks;
- lenders;
- fintech companies;
- credit-card issuers;
- merchant processors;
- Amazon;
- Google;
- Google Business Profile;
- Stripe;
- PayPal;
- licensing authorities;
- transportation regulators;
- insurance companies;
- online marketplaces; or
- other vendors.
5.2 Bank Use
A Business Address may be used for banking correspondence where the applicable bank permits such use.
BusinessRocket does not represent that the Business Address qualifies as a customer's physical operating address for bank Know Your Customer, Customer Identification Program, anti-money-laundering, beneficial ownership, lending, or other compliance requirements.
A bank may require a separate residential, principal-place-of-business, or physical operating address.
5.3 Google Business Profile and Similar Services
BusinessRocket does not guarantee that a Business Address satisfies eligibility or verification requirements for Google Business Profile, online directories, mapping platforms, local-search services, advertising platforms, or similar services.
Those companies independently establish and enforce their own policies.
A customer's inability to use the Business Address with a particular third party does not constitute a failure by BusinessRocket to provide the Business Address Service.
6. MAIL RECEIPT AND PROCESSING
6.1 Mail Handling
Business Address Services are intended to provide customers with a location at which legitimate business mail may be received, subject to these Terms, applicable provider rules, postal requirements, capacity, and operational limitations.
BusinessRocket may receive mail and packages on your behalf but does not guarantee acceptance of every item delivered or attempted to be delivered.
6.2 Authorization to Open Mail
By using Business Address Services, you expressly authorize BusinessRocket and its applicable mail-service providers to receive and open mail addressed to you or your business for purposes of providing the Business Address Services.
You authorize BusinessRocket and its providers to:
- open envelopes and packages;
- inspect contents for processing purposes;
- scan documents;
- photograph documents or packages;
- electronically reproduce contents;
- upload materials to your BusinessRocket portal;
- transmit copies electronically to you;
- identify obvious advertisements or junk mail;
- dispose of qualifying junk mail; and
- otherwise process mail as reasonably necessary to provide the Service.
BusinessRocket will not intentionally open an item where doing so would be prohibited by applicable law.
6.3 Scanning Mail
BusinessRocket may open and scan mail received at a Business Address.
Scanned materials may be uploaded to your BusinessRocket account or portal.
You are responsible for regularly accessing your account and reviewing your mail.
6.4 Photographs
If an item:
- cannot reasonably be scanned;
- cannot safely be opened;
- is unusually large;
- is a package;
- contains physical merchandise;
- contains an object rather than ordinary documents; or
- otherwise cannot be processed through the ordinary scanning workflow,
BusinessRocket may photograph the item or exterior packaging and provide the photograph through your portal, email, or another electronic method.
6.5 Email Notifications
BusinessRocket may send email notifications concerning mail or packages received.
However, your failure to receive, open, or review an email does not require BusinessRocket to retain an item indefinitely and does not relieve you of responsibility for monitoring your BusinessRocket portal.
7. SPAM, ADVERTISEMENTS, AND JUNK MAIL
You authorize BusinessRocket to identify and dispose of materials BusinessRocket reasonably determines to be obvious:
- advertisements;
- solicitations;
- mass marketing mail;
- catalogs;
- flyers;
- junk mail;
- unsolicited promotional materials; or
- other materials that BusinessRocket's mail-processing procedures classify as nonessential spam.
Such materials may be discarded without being scanned, photographed, uploaded, or individually reported to you.
BusinessRocket is not liable for discarding an item reasonably classified in good faith as junk, spam, or advertising, subject to the limitations contained in the General Terms and applicable law.
If a particular item is important to you, you should not rely exclusively upon Business Address Services as the sole method of preserving the original physical document.
8. PHYSICAL MAIL AND PACKAGE FORWARDING
8.1 Electronic Access Is Standard
The standard Business Address Service is primarily designed to provide electronic access to received mail.
Physical forwarding is available only as provided by BusinessRocket or the applicable location.
8.2 Forwarding Upon Request
You may contact BusinessRocket to request physical forwarding of retained mail or packages.
BusinessRocket may require you to:
- provide a prepaid shipping label;
- pay postage;
- pay courier charges;
- pay packaging charges;
- pay handling fees;
- pay administrative fees; or
- prepay a quoted shipping and handling amount.
BusinessRocket may require all applicable charges to be paid before an item is released or shipped.
8.3 Shipping Labels
Where you provide a shipping label, you are responsible for ensuring that:
- the label is valid;
- the destination address is correct;
- the carrier accepts the item;
- sufficient postage is provided;
- any required insurance is selected; and
- the shipment complies with carrier rules.
8.4 Third-Party Carriers
Once an item is delivered to USPS, UPS, FedEx, DHL, another carrier, or another shipping provider, BusinessRocket does not control transportation or delivery.
BusinessRocket is not responsible for loss, theft, damage, delay, misdelivery, or carrier errors occurring after transfer to the carrier, except to the extent applicable law provides otherwise.
9. CUSTOMER PICKUP
Where BusinessRocket or the applicable provider permits physical pickup, you may request an appointment to retrieve retained mail or packages.
Pickup:
- must generally be scheduled in advance;
- may require identification;
- may require proof of authority;
- is subject to office hours and availability;
- may be limited to certain locations; and
- is not guaranteed at third-party provider locations.
Business Address Services do not create a general right to enter or access the Business Address location.
Unscheduled walk-in access is not guaranteed.
10. MAIL RETENTION
Physical mail and package retention periods may vary depending upon:
- location;
- provider;
- item type;
- size;
- operational capacity;
- legal requirements; and
- applicable service plan.
BUSINESSROCKET DOES NOT GUARANTEE A UNIVERSAL PHYSICAL MAIL-RETENTION PERIOD.
BusinessRocket or the applicable provider may establish or modify reasonable retention periods from time to time.
After the applicable retention period, items may, where legally permitted, be:
- discarded;
- securely destroyed;
- returned to sender;
- forwarded at your expense;
- transferred to storage subject to additional fees; or
- otherwise disposed of.
You are responsible for regularly monitoring your account and promptly requesting forwarding or pickup of physical materials that you wish to retain.
11. SPECIAL, LARGE, OR UNUSUAL ITEMS
Business Address Services are principally designed for ordinary business correspondence.
BusinessRocket may refuse, return, restrict, surcharge, or impose special handling requirements for:
- oversized packages;
- unusually heavy items;
- pallets;
- freight;
- excessive quantities of packages;
- merchandise returns;
- items requiring refrigeration;
- perishables;
- hazardous materials;
- unlawful items;
- regulated items;
- cash;
- items presenting security concerns;
- items requiring specialized storage; or
- items BusinessRocket or the provider is not reasonably equipped to handle.
BusinessRocket may photograph such an item instead of opening or processing it.
12. MAIL VOLUME AND FAIR USE
Pricing for Business Address Services assumes ordinary business-mail volume.
If your usage materially exceeds the level reasonably associated with your Service tier, BusinessRocket may:
- charge additional handling fees;
- charge storage fees;
- charge per-item fees;
- require an upgraded plan;
- establish reasonable usage limits;
- refuse excessive deliveries; or
- terminate the Service.
BusinessRocket may establish different mail-volume and package-volume limits for different locations or Service tiers.
13. POSTAL, IDENTITY, AND PROVIDER REQUIREMENTS
Your ability to receive mail may be subject to requirements imposed by:
- USPS;
- other postal authorities;
- shipping carriers;
- BusinessRocket;
- a mail-receiving provider;
- a landlord;
- a building operator;
- applicable law; or
- other regulatory requirements.
You agree to timely provide any identification, authorization, verification, forms, signatures, certifications, or other information reasonably required to activate or maintain the Business Address Service.
Failure to satisfy required verification or postal requirements may result in:
- delayed activation;
- inability to receive mail;
- suspension;
- returned mail; or
- termination of the Service.
A requirement imposed by a postal authority or third-party provider does not constitute a breach by BusinessRocket.
14. CUSTOMER RESPONSIBILITY FOR ADDRESS ACCURACY
You must use the precise Business Address and secondary identifier provided by BusinessRocket.
BusinessRocket is not responsible for mail that is:
- incorrectly addressed;
- missing the assigned secondary identifier;
- addressed to an unregistered entity or person;
- sent to the wrong BusinessRocket location;
- delivered to the wrong suite;
- rejected because of sender error;
- misdirected by a carrier; or
- otherwise not properly addressed.
You are responsible for ensuring that senders have your correct Business Address.
15. REGISTERED NAMES AND ADDRESSEES
BusinessRocket may limit mail receipt to:
- the entity identified in your order;
- approved trade names;
- approved officers or representatives; or
- other approved addressees associated with the account.
You may not permit unrelated individuals or businesses to use your Business Address account without BusinessRocket's written approval.
BusinessRocket may charge additional fees for additional business names, entities, individuals, or recipients.
16. AUTOMATIC RENEWAL
Business Address Services may be offered on a monthly, annual, or other recurring basis as disclosed in your order.
Unless otherwise expressly stated, Business Address Services automatically renew for successive periods until properly terminated in accordance with these Business Address Terms.
You authorize BusinessRocket to charge the applicable recurring Business Address fee to the payment method associated with your account.
BusinessRocket may offer different pricing based upon:
- address location;
- state;
- provider;
- billing frequency;
- mail features;
- Service tier; or
- other Service characteristics.
The price applicable to your Service will be disclosed in your order, account, renewal communication, or other applicable disclosure.
BusinessRocket may change future renewal pricing upon appropriate advance notice.
17. NON-REFUNDABLE FEES
Except where required by applicable law, Business Address subscription fees already charged are non-refundable.
Cancellation does not create:
- a prorated refund;
- a refund for an unused portion of a billing period;
- a refund because a particular third party refused to accept the Business Address; or
- a refund because you later determine that you no longer need the address.
BusinessRocket may issue a refund, partial refund, courtesy credit, or BusinessRocket Credit in its sole discretion.
A discretionary accommodation does not create an obligation to provide another accommodation.
18. REQUESTING CANCELLATION
To request cancellation of Business Address Services, you must submit a written request by email to:

The subject line should state:
[ENTITY NAME] – BUSINESS ADDRESS CANCELLATION REQUEST
Your request should identify:
- the entity;
- applicable Business Address;
- BusinessRocket account; and
- person requesting cancellation.
BusinessRocket may require reasonable verification of identity or authority.
Where applicable law requires BusinessRocket to accept another cancellation mechanism, BusinessRocket will comply with applicable law.
19. A CANCELLATION REQUEST DOES NOT IMMEDIATELY TERMINATE THE BUSINESS ADDRESS
SENDING A CANCELLATION REQUEST DOES NOT, BY ITSELF, FULLY TERMINATE YOUR BUSINESS ADDRESS SERVICE IF YOU CONTINUE TO USE, PUBLISH, OR MAINTAIN THE BUSINESS ADDRESS WITH GOVERNMENT AGENCIES OR MATERIAL THIRD PARTIES.
The Business Address may continue to:
- receive mail;
- be associated with your entity;
- appear on government records;
- generate returned or misdirected mail;
- create administrative responsibilities;
- create provider costs; and
- create operational or legal exposure for BusinessRocket.
Accordingly, a cancellation request and final termination of Business Address Services are distinct events.
20. CUSTOMER MUST REMOVE THE BUSINESS ADDRESS
Before Business Address Services can be fully terminated, you are responsible for removing or replacing the Business Address wherever you caused it to be materially associated with your business.
Depending upon your use, this may include:
- Secretary of State records;
- IRS records;
- state tax-agency records;
- city or county registrations;
- business licenses;
- professional licenses;
- transportation licenses;
- permits;
- bank accounts;
- credit-card accounts;
- merchant-processing accounts;
- lenders;
- financial institutions;
- Amazon;
- Google;
- websites;
- social profiles;
- online marketplaces;
- vendors;
- suppliers;
- customers;
- insurance providers;
- corporate documents;
- invoices;
- letterhead; and
- other material records.
You are responsible for paying any government, third-party, amendment, change-of-address, or other fees necessary to remove the Business Address.
21. PROOF OF ADDRESS REMOVAL
BusinessRocket may require documentation reasonably satisfactory to BusinessRocket demonstrating that the Business Address has been removed or replaced.
The evidence required will depend upon where and how you used the address.
BusinessRocket may reasonably request:
- government filing confirmations;
- screenshots;
- account statements;
- correspondence;
- updated registrations;
- amended licenses;
- online profile updates;
- written confirmations; or
- other evidence.
BusinessRocket is not required to terminate the Business Address Service solely because you state that the address has been removed if BusinessRocket reasonably believes that material uses remain active.
22. CONTINUING BILLING UNTIL REMOVAL
If you request cancellation but continue to use or maintain the Business Address with government agencies, vendors, banks, online services, or other material third parties, BusinessRocket may continue charging the applicable Business Address Service fees until BusinessRocket is reasonably satisfied that the Business Address is no longer being materially used.
For example, if you request cancellation on January 1 but continue listing the Business Address with applicable government agencies, banks, vendors, or other material records until April, BusinessRocket may continue billing through the applicable period in which the address remains associated with your business.
This continuing fee reflects:
- continuing mail exposure;
- continued address association;
- provider charges;
- administrative obligations;
- physical mail handling;
- operational costs; and
- BusinessRocket's continuing relationship to your entity through the address.
A CUSTOMER MAY NOT CANCEL PAYMENT WHILE CONTINUING TO RECEIVE THE BENEFIT OR USE OF THE BUSINESS ADDRESS.
23. EFFECTIVE TERMINATION
Business Address Services will be considered fully terminated when:
- you have submitted a valid cancellation request;
- BusinessRocket is reasonably satisfied that material uses of the Business Address have been removed or replaced;
- outstanding amounts associated with the Service are addressed; and
- BusinessRocket confirms termination or otherwise closes the Business Address account.
BusinessRocket may waive one or more administrative requirements in its discretion without creating an obligation to do so for other customers.
24. MAIL AFTER TERMINATION
After Business Address Services terminate, BusinessRocket and its providers are not obligated to continue accepting, scanning, storing, uploading, forwarding, or notifying you concerning mail addressed to the former Business Address.
Mail received after termination may, to the extent permitted by law and applicable postal requirements, be:
- refused;
- returned to sender;
- discarded;
- securely destroyed;
- held temporarily;
- forwarded only upon payment;
- handled subject to additional fees; or
- processed in another manner determined by BusinessRocket or the applicable provider.
Continued arrival of mail after cancellation does not obligate BusinessRocket to reactivate the Service.
25. CONTINUED UNAUTHORIZED USE AFTER TERMINATION
You may not continue representing the Business Address as your business address after the Service has terminated.
If you continue using the address without authorization, BusinessRocket may:
- demand immediate removal;
- reject mail;
- return mail to sender;
- charge reasonable administrative or handling fees;
- invoice you for continuing address use;
- reinstate applicable Business Address charges;
- notify appropriate providers or government agencies where legally appropriate; or
- pursue other remedies available under the General Terms or applicable law.
Payment of a fee for unauthorized use does not guarantee that BusinessRocket will accept or preserve mail.
26. ADDRESS CHANGES
26.1 BusinessRocket May Change an Address
Business Address availability depends upon physical locations and third-party relationships that may change.
BusinessRocket may replace or discontinue a Business Address because of:
- provider termination;
- building closure;
- relocation;
- lease termination;
- postal requirements;
- government requirements;
- compliance concerns;
- safety concerns;
- property-management decisions;
- operational changes;
- BusinessRocket's discontinuation of a location;
- changes in third-party provider relationships; or
- other legitimate business reasons.
26.2 Replacement Address
Where reasonably practicable, BusinessRocket may offer a replacement Business Address.
The replacement may be:
- at a different street address;
- in a different building;
- assigned a different suite or mailbox identifier;
- operated by another provider; or
- otherwise different from the previous Business Address.
26.3 Customer Must Update Records
If your Business Address changes, you are responsible for updating government records, banks, vendors, licenses, websites, and other third parties.
BusinessRocket will use commercially reasonable efforts to provide notice where practicable but does not guarantee that a particular Business Address will remain available indefinitely.
26.4 No Liability for Provider-Driven Changes
BusinessRocket is not responsible for losses caused by an address change resulting from circumstances outside BusinessRocket's reasonable control, subject to the limitations contained in the General Terms and applicable law.
27. PROHIBITED USE
You may not use a Business Address:
- for unlawful activity;
- to commit fraud;
- to mislead government agencies;
- to impersonate another person;
- for identity theft;
- to receive unlawful goods;
- to evade legal obligations;
- to falsely establish residency;
- to create a materially false physical-location representation;
- to circumvent sanctions;
- in connection with prohibited transactions;
- to harass or threaten others;
- in violation of postal requirements;
- in violation of provider rules;
- in a manner creating unreasonable regulatory exposure;
- in a manner creating security risks; or
- in a manner BusinessRocket reasonably determines could materially harm BusinessRocket, a provider, the property, or other customers.
28. SUSPENSION AND TERMINATION BY BUSINESSROCKET
BusinessRocket may suspend or terminate Business Address Services where reasonably necessary because of:
- nonpayment;
- failed payments;
- fraud or suspected fraud;
- unlawful activity;
- inaccurate identity information;
- failure to satisfy verification requirements;
- sanctions concerns;
- postal compliance requirements;
- excessive mail;
- excessive packages;
- prohibited items;
- abusive conduct;
- misuse of the Business Address;
- unauthorized third-party use;
- provider termination;
- regulatory concerns;
- building or landlord requirements;
- operational risk;
- violation of these Business Address Terms; or
- other legitimate business reasons.
Where reasonably practicable, BusinessRocket may provide notice and an opportunity to correct a curable violation.
BusinessRocket may terminate immediately where continued service creates material legal, compliance, fraud, safety, or security risk.
Termination does not eliminate previously incurred charges or the customer's obligation to stop using the Business Address.
29. THIRD-PARTY PROVIDERS
BusinessRocket may delegate some or all Business Address Services to third-party providers.
Third-party providers may establish reasonable operational rules concerning:
- identification;
- mail acceptance;
- address formatting;
- package size;
- storage;
- pickup;
- forwarding;
- prohibited items;
- customer verification; and
- other mail-handling procedures.
You agree to comply with reasonable provider requirements applicable to your Business Address.
BusinessRocket may change providers when reasonably necessary.
A change of provider does not automatically entitle you to a refund where BusinessRocket continues providing a substantially comparable Business Address Service.
30. CUSTOMER DATA AND MAIL CONTENT
Business Address Services necessarily involve BusinessRocket and applicable providers receiving, opening, scanning, photographing, storing, and transmitting materials that may contain confidential information.
By using the Service, you authorize such processing as reasonably necessary to provide Business Address Services.
You are responsible for determining whether use of a Business Address Service is appropriate for particularly sensitive materials.
BusinessRocket will handle customer information in accordance with its Privacy Policy and applicable law but cannot guarantee that postal carriers, senders, third-party providers, or other independent parties will never lose, misdirect, damage, or improperly access mail.
31. NO GUARANTEE OF MAIL DELIVERY
BusinessRocket does not control:
- USPS;
- private carriers;
- couriers;
- senders;
- government agencies;
- banks;
- third-party address providers; or
- other persons delivering mail.
BusinessRocket therefore does not guarantee that every item addressed to you will actually be delivered to the Business Address.
BusinessRocket is not responsible for mail that is:
- lost before delivery;
- misdirected by a carrier;
- delivered to the wrong location;
- improperly addressed;
- delayed by a carrier;
- damaged in transit;
- stolen before receipt by BusinessRocket or its provider; or
- otherwise never received at the Business Address.
32. SERVICE LIMITATIONS AND CUSTOMER RESPONSIBILITY
Business Address Services are administrative mail-receiving and address services.
BusinessRocket does not undertake to determine whether use of a Business Address satisfies:
- corporate-law requirements;
- tax-residency requirements;
- nexus requirements;
- licensing requirements;
- zoning requirements;
- banking requirements;
- insurance requirements;
- government physical-presence requirements;
- immigration requirements;
- marketplace requirements; or
- other legal or contractual obligations.
You should obtain independent professional advice when the legal significance of an address is material to your business.
33. LIMITATION OF LIABILITY
The limitation-of-liability provisions contained in the BusinessRocket General Terms apply fully to Business Address Services.
Without limiting those provisions, BusinessRocket is not responsible, to the maximum extent permitted by applicable law, for losses arising from:
- carrier delays;
- lost mail not received by BusinessRocket;
- third-party provider failures;
- customer failure to monitor the portal;
- customer failure to timely request forwarding;
- customer failure to update an address;
- government rejection of the Business Address;
- bank rejection of the Business Address;
- online-platform rejection;
- improper address formatting by the Customer or sender;
- discarded spam or advertising reasonably classified as such;
- expired physical-mail retention periods;
- post-termination mail;
- third-party address changes; or
- circumstances outside BusinessRocket's reasonable control.
Nothing in these Business Address Terms limits liability that cannot legally be limited.
34. INDEMNIFICATION
In addition to the indemnification obligations in the General Terms, you agree, to the maximum extent permitted by law, to defend, indemnify, and hold harmless BusinessRocket, its affiliates, and applicable Business Address providers from third-party claims, losses, penalties, costs, liabilities, and reasonable attorneys' fees arising out of or relating to:
- your business activities;
- your use of the Business Address;
- your misuse of the Business Address;
- false representations concerning physical operations at the address;
- your failure to update government or third-party records;
- continued use after termination;
- unlawful mail or packages;
- inaccurate customer information;
- unauthorized users of your address;
- violation of postal or carrier requirements;
- third-party claims arising from your business; or
- your breach of these Business Address Terms.
This indemnification does not apply to the extent a claim is finally determined to result from BusinessRocket's fraud or willful misconduct where such indemnification is prohibited by applicable law.
35. FORCE MAJEURE
BusinessRocket is not responsible for delay, suspension, address unavailability, mail disruption, or failure caused by circumstances beyond its reasonable control, including:
- natural disasters;
- fires;
- floods;
- earthquakes;
- severe weather;
- utility outages;
- internet outages;
- labor disruptions;
- postal interruptions;
- courier interruptions;
- government action;
- building closures;
- property damage;
- landlord action;
- security incidents;
- public emergencies;
- provider failures; or
- similar circumstances.
36. CHANGES TO BUSINESS ADDRESS SERVICES
BusinessRocket may modify:
- Business Address locations;
- providers;
- processing methods;
- mail-scanning procedures;
- retention periods;
- forwarding procedures;
- usage limitations;
- Service tiers;
- technology;
- pricing; or
- other operational features.
Material changes affecting an ongoing paid Service will be communicated as required by the General Terms or applicable law.
37. DISPUTE RESOLUTION
The arbitration, class-action waiver, mass-arbitration, informal-dispute-resolution, arbitration opt-out, governing-law, and venue provisions contained in the BusinessRocket General Terms apply to these Business Address Terms.
38. SURVIVAL
Provisions that by their nature should survive cancellation or termination will survive, including provisions regarding:
- unpaid fees;
- address removal;
- unauthorized continued use;
- post-termination mail;
- indemnification;
- limitation of liability;
- dispute resolution;
- customer responsibility; and
- amounts incurred before termination.
39. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE
These Business Address Terms, the BusinessRocket General Terms, Privacy Policy, applicable order, and any other expressly incorporated service-specific terms constitute the agreement governing Business Address Services.
For matters specifically concerning Business Address Services, these Business Address Terms control over inconsistent provisions in the General Terms.
No oral representation by a salesperson, employee, contractor, or customer-service representative modifies these Business Address Terms unless BusinessRocket expressly agrees to the modification in writing.
40. ACKNOWLEDGMENT OF IMPORTANT BUSINESS ADDRESS TERMS
BY PURCHASING, ACTIVATING, RENEWING, OR USING BUSINESS ADDRESS SERVICES, YOU ACKNOWLEDGE THAT:
A. BUSINESS ADDRESS SERVICES ARE DIFFERENT FROM REGISTERED AGENT SERVICES;
B. BUSINESSROCKET DOES NOT GUARANTEE ACCEPTANCE OF THE ADDRESS BY ANY PARTICULAR GOVERNMENT AGENCY, BANK, GOOGLE, ONLINE PLATFORM, LICENSE, OR THIRD PARTY;
C. THE BUSINESS ADDRESS DOES NOT PROVIDE YOU WITH A PHYSICAL OFFICE, LEASEHOLD, RESIDENCE, OR RIGHT TO REPRESENT THAT YOU PHYSICALLY OPERATE FROM THE LOCATION;
D. YOU AUTHORIZE BUSINESSROCKET AND ITS PROVIDERS TO OPEN, SCAN, PHOTOGRAPH, PROCESS, AND ELECTRONICALLY DELIVER MAIL RECEIVED FOR YOU;
E. BUSINESSROCKET MAY DISCARD MATERIALS REASONABLY IDENTIFIED AS SPAM, ADVERTISING, OR JUNK MAIL;
F. PHYSICAL MAIL AND PACKAGE RETENTION PERIODS MAY VARY BY LOCATION AND PROVIDER;
G. YOU ARE RESPONSIBLE FOR MONITORING YOUR BUSINESSROCKET PORTAL AND REQUESTING PHYSICAL FORWARDING OR PICKUP WHEN NECESSARY;
H. PHYSICAL FORWARDING MAY REQUIRE PAYMENT OF POSTAGE, SHIPPING, HANDLING, AND OTHER APPLICABLE FEES;
I. BUSINESS ADDRESS SERVICES AUTOMATICALLY RENEW UNTIL PROPERLY TERMINATED;
J. FEES ALREADY CHARGED ARE GENERALLY NON-REFUNDABLE;
K. REQUESTING CANCELLATION DOES NOT FULLY TERMINATE THE SERVICE WHILE YOU CONTINUE TO USE OR MAINTAIN THE BUSINESS ADDRESS WITH GOVERNMENT AGENCIES OR MATERIAL THIRD PARTIES;
L. YOU ARE RESPONSIBLE FOR REMOVING THE BUSINESS ADDRESS FROM APPLICABLE GOVERNMENT, BANK, VENDOR, LICENSE, PLATFORM, AND OTHER MATERIAL RECORDS AND PROVIDING REASONABLE PROOF WHEN REQUESTED;
M. BUSINESSROCKET MAY CONTINUE BILLING WHILE THE BUSINESS ADDRESS REMAINS MATERIALLY ASSOCIATED WITH YOUR BUSINESS;
N. AFTER TERMINATION, BUSINESSROCKET IS NOT REQUIRED TO CONTINUE ACCEPTING OR FORWARDING MAIL SENT TO THE FORMER BUSINESS ADDRESS; AND
O. BUSINESSROCKET MAY CHANGE OR REPLACE A BUSINESS ADDRESS OR PROVIDER WHEN REASONABLY NECESSARY.
